The terms and conditions governing your use of ClearPath Pediatrics services, memberships, the ClearPath mobile app, and this website.

⚠️ Medical Emergency Notice: ClearPath Pediatrics does not provide emergency or urgent-care services and cannot respond to medical emergencies. If you believe your child is experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not use ClearPath messaging, phone lines, or the ClearPath app to report urgent or emergent conditions.

1. Agreement to Terms; Acceptance by Payment

These Terms of Use ("Terms") are a binding agreement between you ("Client," "you") and ClearPath Pediatrics, LLC ("ClearPath," "we," "us"). By accessing our website (clearpathpediatrics.com), downloading or using the ClearPath mobile app, booking a consultation, enrolling in any membership, or remitting payment on any ClearPath invoice or subscription, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Payment of any ClearPath invoice, subscription, or fee constitutes your electronic signature and binding acceptance of these Terms. If you do not agree to these Terms, do not use our website, app, or services, and do not remit payment.

2. Who We Are & What We Do — Not Medical Care

ClearPath Pediatrics provides non-medical care navigation, care coordination, health education, and administrative support services to help families understand medical information, organize care, and navigate the healthcare system. Our services support — and never replace — the care provided by your child's licensed healthcare providers.

Our team members, including those who are licensed Registered Nurses, act solely in a non-clinical, navigational and educational capacity when providing ClearPath services.

ClearPath Pediatrics does NOT:

No physician–patient, nurse–patient, or any other provider–patient relationship is created by your use of ClearPath services, the ClearPath app, or this website, under any state or federal healthcare law. All information provided by ClearPath — verbal, written, in-app, or digital — is for general educational and organizational purposes only and is never a substitute for the professional judgment of your child's licensed healthcare providers.

3. Eligibility

You must be at least 18 years of age and the parent, legal guardian, or authorized legal representative of any child for whom services are sought. By using our services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete. ClearPath is not responsible for consequences arising from inaccurate, incomplete, or withheld information.

4. Memberships & Services

ClearPath offers the following services, subject to change:

All membership tiers include complimentary access to the ClearPath app. Service descriptions, pricing, and availability are subject to change prospectively at any time with reasonable notice. Promotional or discounted rates apply only as described at the time of enrollment; unless expressly stated otherwise in writing, a promotional rate applies for as long as the membership remains continuously active and does not apply retroactively or to reactivated memberships. Memberships are personal to your family and may not be shared, resold, or transferred.

5. The ClearPath App & Subscription Levels

The ClearPath mobile app offers tools to organize your child's health information, prepare for appointments, and access educational content. The app is available at the following levels, subject to change:

App subscriptions are purchased through, billed by, and managed exclusively through the Apple App Store or Google Play Store ("App Stores"), and are additionally governed by the applicable App Store's terms. App subscriptions auto-renew until cancelled through your App Store account settings; cancellation, billing, and refund requests for app subscriptions are handled by the App Stores under their policies, and ClearPath cannot issue refunds for App Store purchases. Deleting the app does not cancel a subscription.

7. No Guaranteed Outcomes

ClearPath makes no representation, warranty, or guarantee regarding any outcome, including without limitation: securing appointments, referrals, or waitlist placement; insurance coverage, authorization, or claim approval; provider availability or quality; or any health, financial, or administrative result. All services are provided on a best-efforts basis.

8. Third Parties

ClearPath is not responsible or liable for the acts, omissions, availability, quality of care, billing practices, or decisions of any third party, including healthcare providers, facilities, pharmacies, laboratories, insurers, benefit administrators, App Stores, payment processors, or government programs. Any referral to or mention of a third party is informational only and is not an endorsement or recommendation.

9. Not Insurance

ClearPath memberships and app subscriptions are not health insurance, a health plan, a discount medical plan, or a substitute for insurance, and do not satisfy any insurance mandate. Fees are for navigation, education, and organizational services only. Use of HSA/FSA funds is solely your responsibility to verify with your plan administrator; ClearPath makes no representation regarding eligibility.

12. Confidentiality & Communications

We take the confidentiality of information you share with us seriously. ClearPath is not a covered entity under HIPAA (45 CFR § 160.103), but we voluntarily maintain commercially reasonable safeguards for your information and do not sell it or share it with unauthorized third parties. Please refer to our Privacy Policy for full details.

You authorize ClearPath to communicate with you regarding the services by phone, email, text message, and in-app messaging, and you acknowledge that no method of electronic transmission is perfectly secure. You agree not to share access credentials, session links, or care plan documents with unauthorized third parties.

13. Acceptable Use

When using our website, app, and services, you agree NOT to:

ClearPath may suspend or terminate services, without refund of amounts already owed for services rendered, for material violation of these Terms.

14. Intellectual Property

All content on this website and in the ClearPath app — including text, graphics, logos, software, educational libraries, care plan templates, and service materials — is the property of ClearPath Pediatrics, LLC or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, personal, non-transferable, revocable license to use the app and materials for your family's personal, non-commercial use. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

15. Disclaimer of Warranties

THE WEBSITE, APP, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARPATH DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE, APP, OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY SPECIFIC HEALTH, FINANCIAL, OR ADMINISTRATIVE OUTCOME WILL RESULT.

16. Assumption of Risk & Release

You understand the inherent limitations of non-medical navigation, education, and organizational services, and you knowingly assume all risks associated with healthcare decisions made by you and your child's licensed providers. You, on behalf of yourself and your heirs and assigns, release ClearPath Pediatrics, LLC, its owners, employees, and contractors from any claim arising from healthcare decisions, medical outcomes, delayed or missed care, or third-party conduct, except to the extent caused by ClearPath's gross negligence or willful misconduct.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) CLEARPATH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, APP, OR SERVICES, REGARDLESS OF THEORY OF LIABILITY, SHALL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO CLEARPATH IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; AND (B) IN NO EVENT SHALL CLEARPATH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY DAMAGES ARISING FROM MEDICAL OUTCOMES, DELAYED OR MISSED CARE, INSURANCE DETERMINATIONS, LOSS OF DATA, OR THE ACTS OR OMISSIONS OF ANY THIRD PARTY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.

You agree to indemnify, defend, and hold harmless ClearPath Pediatrics, LLC, its owners, employees, and contractors from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the website, app, or services, or your provision of inaccurate information.

19. Dispute Resolution — Binding Arbitration & Class Action Waiver

Before filing any claim, you agree to first contact us at admin@clearpathpediatrics.com and allow thirty (30) days for informal resolution.

Any dispute arising out of or relating to these Terms, the website, the app, or the services that is not resolved informally shall be resolved exclusively by confidential, binding arbitration in Maricopa County, Arizona, administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court.

YOU AND CLEARPATH EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. CLAIMS MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE EVENT GIVING RISE TO THEM, OR ARE WAIVED TO THE EXTENT PERMITTED BY LAW.

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date and apply prospectively. Your continued use of our website, app, or services — including continued payment of any membership or subscription — after changes are posted constitutes acceptance of the updated Terms.
